Membership Agreement

 

This agreement is made by and between (member name): ___________________________________________________, herein referred to as “Member”, and REGR Enterprises LLC (a Nevada limited liability company) dba The Real Estate Guys™ herein referred to as “Organizer.”

 

Purpose of Agreement

The purpose of this agreement is to provide for the terms and conditions applicable to membership in the Syndication Mentoring Club programs (“SMC”) established and facilitated by Organizer. In exchange for membership in Organizer’s SMC, and in consideration of the mutual covenants below, Member and Organizer agree to the following:

 

Definitions

As used in this agreement, the following terms have the following meanings:

  • “Co-Members” means all other persons who are members of Organizer’s SMC and Inner Circle or are present in any live or virtual meeting as a guest authorized by the Organizer.
  • “SMC” means the private club established and facilitated by Organizer to help educate members develop their own independent real estate syndication business.
  • “Inner Circle” means the sub-group of SMC which receives exclusive, limited to access to certain events and activities not generally available to non-Inner Circle SMC members.
  • “Facilitators” means the individual or individuals which moderate SMC live and virtual meetings, and membership forums.

 

Non-Disclosure

_____ Any information shared by Facilitators and/or Co-Members during any SMC meeting, teleconference, email, or any other form of non-public communication by and between Members, Co-Members, and/or Facilitators, pertaining to personal or business finances, credit ratings, real estate or financial transactions contemplated, in progress, or completed; or any other information which is specific or unique to a particular individual or business and not readily available in the public domain through sources outside of SMC, shall be referred to herein as “Confidential Information.”

_____ Member agrees that Confidential Information shall not be shared with parties who are not active members of SMC or present when Confidential Information was originally disclosed.

_____ Member agrees not to audio, video, or otherwise record or transmit the presentations and conversations that occur at any Inner Circle meeting without the prior express written consent of Organizer.

_____ Member agrees to make every good faith effort to protect the privacy and financial well-being of Organizer, Facilitators and Co-Members by not disclosing Confidential Information to any party or business, public or private, outside of the SMC, without the express written consent of all affected parties, including the Organizer.

_____ Member agrees to use Confidential Information only to enhance the Member’s general knowledge and understanding of real estate investing and syndication. Member agrees not to use the Confidential Information in any manner which might damage, interfere with, or negatively affect the Co-Member or Facilitator who disclosed the Confidential Information.

For example, if a Co-Member discloses that he or she is considering the purchase of a specific property, it would violate this provision if the Member were to share the information with a third party who might pursue the purchase of the property in competition with the disclosing Co-Member.

_____ Member agrees that the provisions of this “Non-Disclosure” section shall remain in force during Member’s term of active membership in SMC and for twenty-four months from the date of termination of such membership.

_____ Member understands and agrees that this non-disclosure provision extends and inures to the benefit of all Co-Members and Facilitators who are granted standing to enforce this provision of the Agreement.

 

Non-Solicitation

_____ Member agrees that in order to maintain a safe, comfortable, and productive learning environment, there shall be no solicitation or recruitment of Co-Members or Facilitators by Member for any product, service, employment opportunity, or business opportunity other than a real estate syndication, without the express prior written consent of Organizer.

_____ Member agrees not to assist any other person in the solicitation or recruitment of Co-Members or Facilitators as described above without the express written consent of Organizer.

_____ Member agrees that the provisions of this “Non-Solicitation” section shall remain in force during the entire period of the Member’s membership in SMC and for twenty-four months from the date of termination of such membership.

 

Non-Circumvention

____ Member understands that Co-Members, Facilitators and guest speakers may, from time to time, at any SMC live or virtual meeting or related event, disclose information specific to an actual transaction or opportunity in progress or under consideration; and that, unless specifically stated by the person sharing the information, such information is being shared for the purposes of learning, and its disclosure does not constitute solicitation, invitation, or permission, for Member to directly or indirectly pursue any transaction or opportunity so disclosed.

_____ Member agrees, with respect to any opportunity or transaction discovered at or through any SMC live or virtual meeting, presentation, or related event or communication, not to pursue such transaction or opportunity directly or indirectly to the exclusion of the person so disclosing and without the disclosing person’s advance knowledge and consent.

_____ Member understands and agrees that this non-circumvention provision extends and inures to the benefit of all Co- Members and Facilitators who are granted standing to enforce this provision of the Agreement.

 

Membership Status

  • Membership is per person, except when two persons join concurrently as a married couple or legal business partnership. Two persons who are investing and syndicating separately from one another shall be considered individually as single members and obligated to each pay the single member rate.
  • Memberships are not resalable or transferable by Member without the prior express written consent of Organizer.
  • Organizer reserves the right to limit the number of members in the club and to change the membership limit up or down at any time in Organizer’s sole discretion.
  • If Member’s membership is not paid current, all membership privileges, including but not limited to, attendance at live meetings, conference calls, and any and all membership benefits in effect at the time of default, may be suspended immediately at Organizer’s sole discretion.
  • Either party may terminate membership at any time without cause upon written notification. If membership is terminated, no prorated refund will be issued.
  • Membership is contiguous and membership dues are owed, unless membership is terminated, even if Member does not participate in any or all scheduled SMC activities. If member terminates and later chooses to reinstate, upon acceptance by Organizer, a $500.00 re-enrollment fee shall be due before reinstated membership becomes effective.

 

Membership Dues

  • If paid in full, annual membership dues are $4997 per person or $7997 per married couple or legal partnership.
  • Membership dues may be paid monthly by pre-authorized bank draft or credit card at the rate of $497 per month for an individual or $797 per month for a married couple or legal partnership.
  • Membership is ANNUAL, even if dues are paid monthly, so Member understands and agrees that membership dues are owed for the ENTIRE membership year, unless membership is terminated by the Organizer.
  • Membership dues paid in full for the year must be paid prior to the start of the membership, and again prior to the anniversary date of the membership.
  • Membership dues must be current and in good standing for member to participate in SMC activities or enjoy access to any membership benefit.

 

Communication & Activity Schedule

  • Organizer will arrange activities for SMC members from time to time. Organizer intends to arrange for SMC live meet-ups three times per year in various locations, and for certain other activities (such as conference calls) to take place from time to time, at the Organizer’s sole discretion.
  • Organizer agrees to announce and publish an SMC meeting schedule at the beginning of each calendar year and to make a good faith effort to notify Member well in advance of any changes.
  • Member understands that all communication from Organizer regarding activity schedules and venue changes, as well as any other reminders and announcements related to SMC activities, will be sent out by e-mail.
  • It is the Member’s responsibility to maintain and access a functional email address; to provide such e-mail address to Organizer, and to notify Organizer promptly of any changes to such address.
  • Organizer is not responsible to reimburse Member for any loss caused by Member’s failure to provide or access an e-mail account, or for any other venue or scheduling changes deemed advisable by Organizer, or caused by circumstances outside of Organizer’s direct control.

 

Disclaimer of Warranties and Limitation of Liability

_____ Member understands that SMC is educational in nature and the information shared by members, facilitators and guest speakers is not necessarily reviewed or approved by Organizer.

_____ Member understands that Organizer provides no warranties, express or implied, as to the veracity or reliability of information made available in and through SMC activities and membership.

_____ Member understands that even though Facilitators, Co-Members and guest speakers may be experienced professionals, no information shared in or through SMC activities and membership should be construed as investment, tax, legal, financial, or any other type of professional advice.

_____ Member agrees that it is Member’s sole responsibility to consult with any appropriately qualified professional advisors of Member’s own choosing before making any investment decision or action which may result in financial loss or other damages to Member or any investor in any of Member’s syndications or deals.

_____ Member agrees and affirms that Organizer, Facilitators, Co-Members and guest speakers shall have no responsibility for any action or decision, or any consequence or result thereof, made by Member with respect to Member’s own personal, business, or syndication finances or investment activities.

_____ Member assumes full and sole responsibility for his or her own investment decisions and actions, and any and all consequences and results thereof. Member agrees not to pursue any claims against Organizer, Facilitators, guest speakers or Co-Members arising out of Member’s own individual investment decisions, or the results thereof, based upon information shared directly or indirectly in connection with any SMC related activity or communication.

_____ Member acknowledges and agrees that as a condition of participating in any SMC activity, Member may be asked to sign a separate agreement requested by a guest speaker relating to confidentiality or other matters. If Member were to refuse to sign and submit such a document, Member may be denied participation in that specific activity and in such case, would NOT be entitled to any refund or reimbursement.

_____ IN NO EVENT SHALL ORGANIZER BE LIABLE TO MEMBER, OR ANY OTHER PERSON, FOR ANY

INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF REVENUE OR

PROFITS) ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SYNDICATION MENTORING

CLUB, OR ANY ADVICE OR INFORMATION DISSEMINATED AT ANY SYNDICATION MENTORING CLUB

MEETING, CALL, EVENT, FORUM, WEBSITE, OR ACTIVITY, REGARDLESS OF WHETHER THE CAUSE OF

ACTION IS PURSUANT TO CONTRACT, WARRANTY, TORT, OR ANY OTHER LEGAL THEORY. IN NO

EVENT SHALL THE AGGREGATE LIABILITY OF ORGANIZER TO MEMBER, RELATING IN ANY WAY TO

THIS AGREEMENT OR THE INNER CIRCLE, EXCEED THE AMOUNT MEMBER HAS PAID ORGANIZER.

_____ Any dispute, claim or controversy arising out of this Agreement and/or Member’s participation in any SMC event or activity shall be construed and interpreted in accordance with the laws of the state of Nevada.

_____ Member agrees to submit any dispute, claim or controversy arising out of this Agreement to private mediation. In the event that Member and Organizer are unable to reach an amicable resolution to the dispute at the mediation, then the dispute, claim or controversy arising under this Agreement shall be resolved by binding arbitration. Member and Organizer agree, however, that good faith mandatory mediation is a pre-requisite to filing an arbitration claim and that any party which does not participate in good faith arbitration shall be barred from seeking and obtaining attorneys’ fees in the event of a subsequent award. Arbitration shall be conducted in the state of Nevada, or another location if agreeable to all parties. In the event it becomes necessary to commence legal proceedings to enforce the terms and condition of this Agreement, the prevailing party shall be entitled to recover attorney fees and costs subject to their good faith participation in the mediation proceedings. Member may request that Organizer pay the costs associated with the initiation of the arbitration to the extent such costs are in excess of bringing and maintaining an equivalent court action. Judgment on the award may be entered in any court having jurisdiction.

 

General Provisions

  • This Agreement constitutes the full and complete understanding of Member and Organizer.
  • If any provision of this Agreement is ruled to be invalid or unenforceable, such provision shall be replaced with a valid provision that accomplishes the intention of the parties as nearly as possible, and the other provisions shall not be affected.
  • Co-Members and Facilitators shall be deemed to be third-party beneficiaries of the covenants and agreements of Member inthis Agreement.
